Non‑Compete & Non‑Solicitation Agreement

This agreement helps protect our legitimate business interests (client relationships, confidential information, and workforce stability) in line with UK law. Please review the scope and confirm your decision.

Summary of obligations

  • Non‑compete: Do not work for or provide services to a competing business within the defined scope during employment and for a limited period after leaving.
  • Non‑solicitation: Do not solicit or deal with our clients, prospects, or suppliers in competition for the restricted period.
  • Non‑poaching: Do not solicit or hire our employees or contractors for the restricted period.
  • Confidentiality: Keep company and client information confidential at all times.
  • IP & materials: Work products remain company property unless explicitly agreed otherwise.
Restrictions must be reasonable in scope, geography, and duration to be enforceable under UK law. This agreement is tailored accordingly.

Non‑solicitation and non‑poaching

You agree not to solicit, induce, or engage with these parties to compete with the company during the restricted period.

Confidentiality & Intellectual Property

  • Maintain confidentiality over client lists, pricing, proposals, processes, and trade secrets.
  • Return or securely delete company materials on request or upon leaving.
  • Work products created in the course of employment are owned by the company unless otherwise agreed in writing.

Carve‑outs and reasonableness

  • Passive shareholdings (up to 5% in a listed company) are not restricted.
  • Restrictions do not prevent lawful whistleblowing or statutory rights.
  • If any provision is too broad, it will be limited to what is reasonably necessary to protect legitimate interests (severability).

Governing law and jurisdiction

This agreement is governed by the laws of England & Wales, and the courts of England & Wales shall have exclusive jurisdiction.
